1. Acceptance

By creating a Sema Link account, accessing our API, or using any part of the Sema Link platform you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting on behalf of a company, you represent that you have authority to bind that company.

If you do not agree to these Terms, do not use Sema Link.

2. The Services

Sema Link provides a cloud-based SMS gateway platform ("Services") including:

  • A REST API for sending and receiving SMS messages across East African mobile networks.
  • A web dashboard for campaign management, contact uploads, sender ID registration, and analytics.
  • Delivery report (DLR) webhook callbacks.
  • Wallet top-up via M-Pesa and other payment methods.

We reserve the right to modify, suspend, or discontinue any feature with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of Services.

3. Accounts & API Keys

You must provide accurate and complete registration information. You are responsible for:

  • Maintaining the confidentiality of your password and API keys.
  • All activity that occurs under your account.
  • Notifying us immediately at support@semalink.africa if you suspect unauthorised access.

API keys must not be embedded in client-side code, public repositories, or shared with unauthorised parties. We may revoke keys that appear to be compromised without prior notice.

4. Acceptable Use

You agree to use Sema Link only for lawful purposes and in accordance with our Acceptable Use Policy, which is incorporated into these Terms by reference. Prohibited uses include but are not limited to spam, phishing, fraud, and sending messages to recipients who have not consented.

5. Billing & Credits

Sema Link operates on a prepaid credit model. Credits purchased are non-refundable except where required by applicable consumer protection law. Prices are displayed in Kenya Shillings (KES) and may vary by destination network.

Credits expire 12 months after the last top-up if no messages are sent. We will send a reminder email 30 days before expiry. Business accounts with active usage are exempt from expiry.

We reserve the right to change pricing with 30 days' notice. Continued use after the effective date of a price change constitutes acceptance.

6. Service Levels

We target 99.9% monthly platform uptime excluding scheduled maintenance. Scheduled maintenance windows will be announced at least 48 hours in advance.

Delivery rates are dependent on destination network conditions, recipient device availability, and factors outside our control. We do not guarantee 100% delivery and are not liable for undelivered messages caused by MNO-side issues.

7. Intellectual Property

Sema Link and its licensors own all intellectual property in the platform, API, documentation, and branding. Your use of our Services does not grant you any ownership rights. You retain ownership of the content of messages you send through the platform.

By using our platform you grant us a limited, non-exclusive licence to process your message content solely to provide the Services.

8. Suspension & Termination

We may suspend or terminate your account immediately if you:

  • Violate these Terms or the Acceptable Use Policy.
  • Fail to pay outstanding amounts.
  • Engage in activity that poses a risk to our platform or other users.
  • Are the subject of legal process requiring us to act.

You may close your account at any time by contacting support@semalink.africa. Unused credits at the time of voluntary closure are non-refundable.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Sema Link's total liability to you for any claim arising from or related to these Terms or the Services shall not exceed the amount you paid us in the 3 months immediately preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under applicable law.

10. Disputes & Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising from these Terms shall first be referred to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya.

11. Changes to These Terms

We may update these Terms. Material changes will be communicated by email at least 14 days before the effective date. Continued use of Sema Link after the effective date constitutes acceptance of the revised Terms.
